1. Acceptance of Terms

By accessing or using ClickScale, including our website, platform and related services, you agree to these Terms. If you use ClickScale on behalf of a business, you confirm you have authority to accept these Terms for that business. If you do not agree, do not use ClickScale.

2. About ClickScale

ClickScale provides software and services that may include:

• Advertising tools and Meta advertising integrations
• AI-assisted ad creation
• AI voice follow-up and AI SMS follow-up
• AI receptionist functionality
• CRM and lead management
• Automations and analytics
• Coaching and support

Features may be added, changed or removed over time.

3. Account Responsibilities

You are responsible for:

• Providing accurate information
• Keeping your login credentials secure
• All activity performed through your account
• Making sure you have permission to connect any third-party accounts and data

4. Third-Party Platforms

ClickScale may integrate with third-party services such as Meta and other providers. Those platforms have their own terms and policies, which apply to your use of them. ClickScale does not control their availability, decisions or policy changes. Access to certain features may depend on your accounts, permissions and compliance with third-party requirements.

5. Advertising

ClickScale may help you with advertising strategy, creative, campaign setup and campaign management. ClickScale does not guarantee specific advertising results, lead volume, cost per lead, revenue or profitability. Advertising performance depends on many factors outside our control, including your offer, market, budget and third-party platform decisions. Ad spend paid to advertising platforms is your responsibility.

6. AI Features

ClickScale may use AI to assist with advertising copy, creative, lead follow-up, voice interactions, SMS conversations, customer communications and other platform functionality. AI output may not always be accurate or appropriate. You remain responsible for reviewing and appropriately using AI-generated output.

7. Customer Data

You may upload, connect or process information about your business, leads and customers through ClickScale. You are responsible for having the necessary rights, authority and consents to use that information through ClickScale. Our handling of personal information is described in our Privacy Policy.

8. Calling, SMS and Marketing Compliance

If you use calling, SMS, advertising or marketing features, you are responsible for complying with applicable laws, consent requirements and platform policies, including anti-spam, telemarketing and messaging rules. ClickScale is not responsible for unlawful outreach practices by its customers.

9. Fees and Billing

Certain ClickScale products or services may require payment. Pricing, billing frequency and applicable fees will be disclosed at the time of purchase or in an applicable order, subscription or service agreement.

10. 14-Day Guarantee

Where a 14-day satisfaction guarantee is offered, eligibility and any applicable conditions will be described at the time of purchase.

11. Acceptable Use

You must not use ClickScale to:

• Violate any law or regulation
• Commit fraud
• Send unlawful spam
• Harass others
• Distribute malicious software
• Gain unauthorized access to systems or data
• Abuse third-party platforms
• Infringe intellectual property rights
• Carry out any other illegal activity

12. Intellectual Property

ClickScale, including its software, branding, interfaces and proprietary materials, belongs to OutboundPro Inc. or its licensors. You retain ownership of the materials you provide, and you grant us the rights needed to use them to provide the service to you.

13. Service Availability

We may update features, modify the platform, perform maintenance, and change or discontinue functionality. The service may experience interruptions, and we do not promise that it will be uninterrupted or error-free.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, ClickScale is provided on an “as is” and “as available” basis, without warranties of any kind beyond those expressly stated in these Terms or in a written agreement with you.

15. Limitation of Liability

To the maximum extent permitted by applicable law, ClickScale and OutboundPro Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to your use of ClickScale. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You agree to be responsible for, and to compensate us for, claims, losses and costs arising from your misuse of ClickScale, your violation of law, your infringement of third-party rights, or your violation of these Terms.

17. Suspension and Termination

We may suspend or terminate access to ClickScale where necessary because of non-payment, security concerns, abuse, violation of these Terms, illegal activity, or risk to ClickScale or third parties.

19. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the latest changes. Continued use of ClickScale after changes take effect means you accept the updated Terms.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Any dispute will be resolved in the courts of Ontario, unless applicable law requires otherwise.
